These Terms & Conditions (“Terms”) govern your access to and use of SIMDU, including the SIMDU website, mobile application, bridge application, related services, updates and associated software (together, the “Services”). SIMDU is operated by EAssure Solutions India Private Limited (“SIMDU”, “Company”, “we”, “our”, or “us”).
By accessing, downloading, purchasing, installing or using any part of the Services, you acknowledge that you have read, understood and agree to be bound by these Terms. If you do not agree, you must not use the Services.
SIMDU has not launched. Today the Services consist of this website and a paid waitlist reservation, governed by our Waitlist Reservation Terms. The sections below covering accounts, purchases of the Software, licence activation and the Software itself are published in advance and take effect when those parts of the Services are released.
1. Definitions
Account means a registered SIMDU account associated with a user’s purchase or licence.
Aircraft Add-on means any third-party aircraft software supported by SIMDU, including aircraft developed by PMDG, FlyByWire Simulations, Fenix Simulations, iFly, iniBuilds or other supported developers.
Licence means the limited, non-exclusive, revocable right granted by SIMDU to use the Software in accordance with these Terms.
Services means all software, websites, applications, updates, downloads, APIs, documentation, customer support and digital services provided by SIMDU.
Software means the SIMDU mobile application, bridge application and all related components.
You means any individual or entity using the Services.
2. Acceptance
By using SIMDU you confirm that:
- you have the legal capacity to enter a binding agreement;
- you agree to comply with these Terms;
- you will comply with all applicable laws while using the Services; and
- the information you provide is accurate and complete.
If you are using SIMDU on behalf of an organisation, you represent that you have authority to bind it to these Terms.
3. Eligibility
You may use SIMDU only if you:
- meet the minimum age requirement in section 4;
- are legally permitted to enter into contracts under applicable law;
- are not prohibited from receiving software or digital services under applicable sanctions or export laws; and
- comply with applicable local and international law.
We may refuse service, suspend access or terminate accounts where continued access would breach applicable law.
4. Minimum age
You must be at least 18 years old to join the waitlist, purchase, hold an account or accept these Terms.
A person under 18 may use the Software only under the account of, and with the supervision of, a parent or legal guardian, who accepts these Terms as the licensee and remains responsible for all use. By using the Services you represent that you meet this requirement.
5. What the Services are
SIMDU provides companion software designed to integrate with supported flight simulation platforms and aircraft add-ons. Depending on the version, the Services may include bridge software, a mobile companion application, virtual CDU/MCDU/FMC interfaces, aircraft-specific integrations, updates, bug fixes, customer support and future compatibility updates.
Nothing in these Terms guarantees compatibility with every simulator version, operating system, aircraft add-on or third-party product.
5.1 Supported aircraft and features
SIMDU supports only those aircraft, simulators, integrations and features expressly designated by the Company. We may add, modify, suspend, discontinue or remove support for any of them at any time, subject to technical feasibility, compatibility, availability of third-party interfaces or SDKs, licensing, commercial viability, legal requirements, and changes made by third-party developers.
Reference to any aircraft, simulator, feature or planned integration on this website, in marketing materials, on the waitlist or on social media is not a guarantee that support will be released, remain available, or continue indefinitely.
6. Independent software
SIMDU is an independent third-party product. Unless expressly stated, SIMDU is not affiliated with, endorsed by, sponsored by or associated with Microsoft Corporation, Asobo Studio, PMDG, FlyByWire Simulations, Fenix Simulations, iFly, iniBuilds, Navigraph, any aircraft developer, any simulator developer, any airline or any aircraft manufacturer.
All trademarks, logos, product names and company names remain the property of their respective owners and are used solely for identification and compatibility purposes.
7. The waitlist
Reserving a place on the waitlist costs $1.00, ₹99, £1.00 or €1.00, depending on the currency you select, is non-refundable, and is governed by our Waitlist Reservation Terms, which form part of these Terms.
A reservation holds a 15% discount against the package you select. It does not purchase a licence to the Software and does not guarantee that SIMDU will be released. Where we do not release it, section 8 of the Waitlist Reservation Terms and section 2 of our Refund Policy set out when the fee is returned.
8. Accounts (on release)
There is no account system at present. When one is released, you agree to keep your information accurate, keep your credentials confidential, notify us immediately of unauthorised access, and take responsibility for activity under your account.
You must not share, sell or transfer accounts, buy accounts from third parties, create accounts using false information, or impersonate another person or organisation. We may suspend or terminate accounts that breach these Terms.
9. Software licence (on release)
Subject to your compliance with these Terms and payment of applicable fees, SIMDU grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install the Software, access purchased features, receive updates made available for your licensed version, and use SIMDU for lawful personal or internal business purposes.
This licence does not transfer ownership. All ownership rights remain with EAssure Solutions India Private Limited. The detailed licence terms are in our End User Licence Agreement.
10. Licence restrictions
Unless we authorise it in writing, you may not:
- copy the Software except as necessary for installation or backup where permitted by law;
- modify, adapt or create derivative works;
- reverse engineer, decompile or disassemble the Software, except where that right cannot legally be restricted;
- remove copyright notices or proprietary markings;
- circumvent licensing or activation systems;
- redistribute, rent, lease, sublicense or resell the Software;
- use SIMDU for unlawful purposes;
- use automated tools to interfere with the Services; or
- attempt to gain unauthorised access to our systems or infrastructure.
Breach of this section may result in immediate suspension or termination of your licence without refund, and legal action where appropriate.
11. Purchases and payments (on release)
The only payment this website currently takes is the $1.00, ₹99, £1.00 or €1.00 waitlist reservation. The Software itself is not yet on sale.
All payments, including the reservation, are handled by Razorpay, a third-party payment processor. You are taken to Razorpay’s secure checkout and your payment instrument details are given to them rather than to us.
When the Software goes on sale, access to certain features or integrations may require a paid licence. Any change of processor will be named in these Terms, our Privacy Policy and our Refund Policy before it takes effect.
By completing a purchase you will represent that you are authorised to use the payment method, that the information you provide is accurate, and that you will pay all applicable charges, taxes and fees. We do not store complete payment card details.
12. Pricing and taxes
Prices displayed on the website or in the application may change at any time without notice. A change applies only to future purchases and does not affect licences already purchased unless stated otherwise.
Prices may be shown in different currencies for convenience. The final charge may vary with exchange rates, applicable taxes, processor fees and government charges. You are responsible for any taxes, customs duties, VAT, GST or similar charges in your jurisdiction unless stated otherwise.
13. Licence activation and anti-piracy
After a successful payment we may issue a licence, activation key or account entitlement. Each licence is for the purchaser only. We may implement reasonable activation limits, licence verification, device activation controls, integrity checks and fraud detection to prevent abuse and unauthorised redistribution.
You may not disable, modify, bypass or interfere with those measures. Unauthorised distribution, resale, cracking or piracy may result in immediate termination and legal action.
14. Updates
We may release feature updates, bug fixes, performance improvements, security patches and compatibility updates. Updates may install automatically or require manual installation.
We aim to maintain compatibility with supported aircraft and simulator versions but cannot guarantee it for every future version of third-party software, and we may discontinue support for outdated operating systems or simulator versions where it is no longer feasible.
15. Third-party products
Compatibility with any aircraft, simulator, operating system, plugin or add-on is provided on an “as available” basis. Third-party developers may release updates that alter interfaces or data structures in ways that affect compatibility temporarily or permanently. We will make reasonable efforts to maintain compatibility but do not guarantee uninterrupted support following changes outside our control.
16. Intellectual property
All rights, title and interest in SIMDU — including the software, source code, object code, user interface, graphics, icons, logos, branding, documentation, website content, databases, text, design elements and audio and visual assets — remain the exclusive property of EAssure Solutions India Private Limited or its licensors. You receive only the limited licence expressly granted in these Terms.
17. Feedback
If you voluntarily send us suggestions or feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free licence to use, modify, reproduce, publish and incorporate it into the Services without compensation or acknowledgement. You represent that your feedback does not infringe anyone else’s rights.
18. Acceptable use
You must not:
- interfere with our infrastructure;
- circumvent licensing systems;
- distribute malware or upload malicious code;
- access another user’s account;
- use stolen payment methods;
- exploit vulnerabilities or conduct automated attacks;
- attempt unauthorised access to our servers;
- use SIMDU to facilitate unlawful activity; or
- misrepresent yourself as a representative of SIMDU.
We may investigate suspected misuse and cooperate with lawful requests from regulatory or law enforcement authorities.
19. Suspension and termination
We may suspend, restrict or terminate access without prior notice where we reasonably believe you have breached these Terms, engaged in fraudulent, abusive or unlawful conduct, attempted to compromise the security of the Services, redistributed the Software without authorisation, or used SIMDU in a way that could harm us, our users or third parties. Termination does not affect rights or obligations that accrued before it.
20. Disclaimer of warranties
To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis. We make no representation or warranty, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, performance, compatibility, continuous operation or error-free functionality.
We do not warrant that the Services will always be available, that the Software will operate without interruption, that all defects will be corrected, that the Services will remain compatible with every version of Microsoft Flight Simulator or third-party aircraft, or that third-party developers will maintain compatibility with SIMDU.
21. Limitation of liability
To the maximum extent permitted by law, EAssure Solutions India Private Limited and its directors, employees, officers, contractors, affiliates, licensors, distributors and partners are not liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for loss of profits, revenue, business, goodwill or data, business interruption, computer failure, simulator corruption or third-party software incompatibility arising from or relating to use of, or inability to use, the Services.
Where liability cannot legally be excluded, our aggregate liability will not exceed the total amount you paid for the applicable SIMDU licence in the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including under consumer protection legislation.
22. Indemnity
You agree to defend, indemnify and hold harmless EAssure Solutions India Private Limited and its affiliates, officers, directors, employees, contractors, licensors, successors and assigns against claims, damages, liabilities, losses, costs, expenses and reasonable legal fees arising from your breach of these Terms, your misuse of the Services, your violation of applicable law, or your infringement of third-party rights.
23. Force majeure
We are not liable for any failure or delay in performing our obligations where it results from events beyond our reasonable control, including natural disasters, fire, flood, earthquake, pandemic, government action, internet or power outages, cyberattacks, labour disputes, war, terrorism, civil unrest, or failures of third-party service providers. Performance is suspended for the duration of the event.
24. Privacy
Your use of the Services is also governed by our Privacy Policy, which explains what personal information we collect and how it is used, stored, protected and disclosed.
25. Third-party services
SIMDU may integrate with third-party software, services, websites, APIs or payment providers. We are not responsible for third-party updates, external websites, processor availability, third-party privacy practices or external terms. You are responsible for complying with the terms of any third-party products you use alongside SIMDU.
26. Export compliance
You agree not to use, export, re-export or transfer the Software in breach of any applicable export control law, sanction or trade restriction. We may refuse access where required to comply with those obligations.
27. Governing law and disputes
These Terms are governed by the laws of the Republic of India, without regard to conflict of law principles.
Please contact support to resolve any dispute informally first. Any dispute that cannot be resolved amicably is subject to the exclusive jurisdiction of the competent courts at Delhi, India. Nothing in this section limits any right that cannot be waived under applicable consumer protection law, including your right to bring proceedings in your country of residence where that law gives you one.
28. Changes
We may modify these Terms. Where a change is material we will make reasonable efforts to notify users through the website, the application or email. Continued use after revised Terms take effect constitutes acceptance.
29. Severability, waiver and assignment
If any provision is held invalid or unenforceable, the remainder continues in force, and the invalid provision is modified only so far as needed to make it enforceable.
Our failure to enforce a provision is not a waiver of it. A waiver is effective only in writing, signed by an authorised representative.
You may not assign your rights or obligations without our prior written consent. We may assign ours in connection with a merger, acquisition, restructuring or sale of assets.
30. Entire agreement
These Terms, together with the Privacy Policy, Waitlist Terms, Refund Policy, EULA and Cookie Policy, are the entire agreement between you and EAssure Solutions India Private Limited regarding the Services, and supersede all prior understandings on the subject.
Order of precedence. If these Terms conflict with the EULA, the EULA governs matters of licensing, installation and technical use of the Software, and these Terms govern general access to the Services, purchases and payments.
31. Trademarks
“SIMDU” and its associated branding, logos, graphics, software, interfaces, documentation and website content are the intellectual property of EAssure Solutions India Private Limited unless otherwise stated.
Microsoft Flight Simulator, PMDG, FlyByWire, Fenix Simulations, iFly, iniBuilds and all other third-party trademarks remain the property of their respective owners. Reference to them is for compatibility and identification only and does not imply endorsement, sponsorship, partnership or affiliation.
